Introduction and Acceptance
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and TechAlmas LLP, operating as emblit.ai (“emblit,” “we,” “us,” or “our”), governing your access to and use of the emblit.ai platform, including all features, functionalities, APIs, and related services (collectively, the “Service”).
By creating an account, accessing the Service, or clicking “I Agree,” you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accepting these Terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation.
If you do not agree to these Terms, do not access or use the Service.
Definitions
- “Customer Data” means all data, including lead information, conversation content, contact details, and any other information submitted to or processed through the Service by you or your end users.
- “Ember™” means the AI-powered analysis engine within emblit that processes conversations and extracts structured data.
- “LCP™ (Lead Closing Probability)” means emblit's proprietary scoring methodology that calculates the predicted probability of a lead converting to a closed deal.
- “Platform” means the emblit.ai web application, APIs, dashboards, and any associated mobile applications.
- “Authorised User” means any individual granted access to the Service under your account, including agents, managers, and administrators.
- “WhatsApp Business API” means Meta Platforms' official business messaging API, through which emblit facilitates messaging capabilities.
Service Description
emblit.ai is an AI-powered lead qualification and follow-up platform designed for real estate teams. The Service includes:
- Automated lead capture from integrated sources (Meta Ads, property portals, WhatsApp Business, websites, and CRM systems)
- AI-powered conversation analysis and data extraction via Ember™
- Lead Closing Probability™ (LCP) scoring and prioritisation
- AI-assisted WhatsApp message drafting and follow-up sequences
- Meeting scheduling and calendar integration
- Manager dashboards, reporting, and analytics
The Service operates as an intelligence and automation layer and does not replace your existing CRM or communication infrastructure.
Account Registration and Security
- You must provide accurate, current, and complete information during registration and maintain the accuracy of such information.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- You must notify us immediately at security@emblit.ai of any unauthorised access to your account.
- You are responsible for ensuring that all Authorised Users comply with these Terms.
Acceptable Use
You may use the Service solely for lawful business purposes related to lead management, sales communication, and CRM operations.
5.2 -You shall NOT:
- Use the Service to send unsolicited messages (spam) or violate any applicable anti-spam legislation
- Use the Service in violation of WhatsApp's Business Messaging Policy or Meta's Platform Terms
- Attempt to reverse-engineer, decompile, or extract the underlying algorithms of Ember™ or LCP™
- Share, sublicense, or resell access to the Service without prior written consent
- Upload or transmit any malicious code, viruses, or harmful content
- Use the Service to process data of minors (persons under 18 years of age)
- Attempt to circumvent any security measures, rate limits, or access controls
- Use LCP™ scores for purposes other than sales prioritisation and pipeline management
5.3 -WhatsApp Messaging Standards
All WhatsApp messages sent through emblit must comply with:
- Consent: You must have prior opt-in consent from recipients before sending messages.
- Opt-out: Every message sequence must include a clear opt-out mechanism. When a lead requests to stop receiving messages, all automated sequences must cease immediately.
- Business context: Messages must be related to legitimate real estate business inquiries. Promotional messages must use approved WhatsApp Business templates.
- Frequency: Do not send more than 3 messages within 24 hours to a lead who has not responded.
- Timing: Automated messages should not be sent between 9 PM and 8 AM in the recipient's local time zone.
5.4 -Prohibited Content
You may NOT use emblit to send or process: spam or bulk promotional messages; misleading, deceptive, or fraudulent content; content that impersonates another person or organisation; discriminatory, harassing, or abusive content; content that promotes illegal activities; sexually explicit material; content targeting minors; fake property listings; or data harvesting operations.
5.5 -Enforcement
Violations may result in: (a) warning notification; (b) temporary suspension; (c) permanent termination; (d) reporting to relevant authorities if illegal activity is detected. We may take immediate action without prior warning for severe violations.
Customer Data and Data Ownership
- You retain all rights, title, and ownership of your Customer Data. emblit does not claim ownership of any data you submit to the Service.
- You grant emblit a limited, non-exclusive licence to process your Customer Data solely for the purpose of providing the Service, including AI analysis, scoring, and generating recommendations.
- We will not sell, share, or disclose your Customer Data to third parties except as necessary to provide the Service, as required by law, or with your explicit consent.
- Upon termination of your account, you may request export of your Customer Data within 30 days. After 30 days, we reserve the right to delete your data in accordance with our data retention policy.
AI-Generated Content and LCP™ Disclaimer
- The Service uses artificial intelligence to analyse conversations, extract data, draft messages, and calculate Lead Closing Probability™ scores. AI-generated outputs are recommendations and predictions, not guarantees.
- LCP™ scores represent a statistical probability based on available signals and historical patterns. Actual lead outcomes may differ from predicted probabilities. emblit makes no warranty that any specific lead will close at the rate indicated by its LCP™ score.
- AI-drafted messages are suggestions that require human review and approval before sending. You are responsible for reviewing and approving all outbound communications.
- You acknowledge that AI analysis is based on the data available and may not capture all relevant factors influencing a lead's decision.
WhatsApp Business API Compliance
- Your use of WhatsApp messaging through the Service is subject to Meta's WhatsApp Business Policy and Commerce Policy.
- You are responsible for obtaining and maintaining all necessary consents from leads and contacts before sending them WhatsApp messages via the Service.
- emblit acts as a Business Solution Provider (BSP) under Meta's WhatsApp Business API programme. Messages sent through the Service are transmitted via the official Meta API.
- Meta may modify, suspend, or terminate WhatsApp Business API access at its discretion. emblit is not liable for service disruptions caused by Meta's actions.
Fees and Payment
- During the pilot phase, the Service is provided free of charge to qualifying teams, subject to acceptance into the pilot programme.
- Post-pilot pricing will be communicated to pilot participants at least 30 days before any charges apply. You will not be charged without explicit opt-in to a paid plan.
- All fees are exclusive of applicable taxes (including VAT in the UAE and GST in India), which will be added where required by law.
Intellectual Property
- The Service, including all software, algorithms, designs, documentation, and branding, is the exclusive property of TechAlmas LLP.
- The following are registered trademarks of TechAlmas LLP: emblit™ and the emblit logo; Ember™; Lead Closing Probability™ and LCP™.
- You may not use our trademarks without prior written permission, except to factually refer to your use of the Service.
- The LCP™ scoring methodology, signal model, and calculation algorithms constitute trade secrets of TechAlmas LLP. Any attempt to reverse-engineer, replicate, or derive the LCP™ methodology is strictly prohibited.
Confidentiality
- Each party agrees to keep confidential all non-public information disclosed by the other party.
- Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.
- Confidentiality obligations survive termination for 3 years.
Service Availability
- We aim to maintain 99.5% uptime, excluding scheduled maintenance.
- Scheduled maintenance will be communicated via email at least 24 hours in advance where practicable.
- We are not liable for downtime caused by third-party services, force majeure events, or your internet connectivity.
- Support is available at support@emblit.ai during business hours (Sun–Thu 9 AM–6 PM GST for UAE; Mon–Fri 9 AM–6 PM IST for India).
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMBLIT'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. DURING THE FREE PILOT PHASE, LIABILITY IS LIMITED TO AED 1,000 / INR 20,000.
- EMBLIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
- Nothing in these Terms excludes liability for fraud, wilful misconduct, or death or personal injury caused by negligence.
Indemnification
You agree to indemnify and hold harmless TechAlmas LLP from any claims, damages, or expenses arising from: (a) your violation of these Terms; (b) your violation of any third-party rights; (c) your Customer Data; or (d) your use of the Service in violation of applicable laws.
Termination
- Either party may terminate by providing 30 days' written notice via email.
- We may terminate or suspend access immediately if you breach these Terms or WhatsApp's policies.
- Upon termination, you may request data export within 30 days. After 30 days, data will be deleted.
- Sections 6, 7, 10, 11, 13, 14, and 16 survive termination.
Governing Law
- UAE customers: Governed by the laws of the Emirate of Dubai. Disputes submitted to the courts of Dubai.
- Indian customers: Governed by the laws of India. Disputes submitted to the courts in Ahmedabad, Gujarat.
- All other customers: Governed by the laws of the Emirate of Dubai. Courts of Dubai.
- Both parties agree to attempt good-faith resolution for 30 days before initiating legal proceedings.
Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email at least 30 days before taking effect. Continued use after updates constitutes acceptance.
